Buyback Program Policy

This Buyback Program Policy (the "Policy") sets out the terms and conditions under which DioLaz Canada Inc. ("DioLaz", "we", "us", or "our") may, in its sole discretion, repurchase certain DioLaz branded medical aesthetic devices from eligible purchasers in Canada.

This Policy is intended to be clear, practical, and protective of all parties. This Policy does not constitute legal advice. Participation is voluntary and subject to eligibility verification and acceptance by DioLaz in writing.

1. Purpose and Scope

The purpose of the Buyback Program is to provide eligible customers with a structured pathway to realize residual value from qualifying equipment after a minimum ownership period. This Policy governs only the buyback transaction and does not modify any warranty, training, service, or other terms previously agreed between the parties, except as expressly stated herein.

This Policy applies only to buybacks conducted within Canada and only in respect of qualifying DioLaz-branded devices. DioLaz may suspend, amend, or discontinue the Buyback Program at any time, subject to Section 11 (Changes to this Policy).

"Buyback Offer"

"Eligible Purchaser"

The original purchaser listed on the DioLaz invoice, or another person/entity expressly approved by DioLaz in writing after verification.

"Original Purchase Price"

The pre-tax purchase price for the Device as listed on the original DioLaz invoice for the Device (excluding sales taxes, shipping, consumables, accessories unless explicitly included as equipment).

"Working Condition"

A condition in which the Device powers on, passes basic functional checks, and does not present an apparent safety hazard, as determined by DioLaz or its designated service provider.

 

3. Eligibility Requirements

·         The Device must be a DioLaz-branded device licensed by Health Canada (where applicable) and intended for the Canadian market.

·         The Device must have been purchased directly from DioLaz Canada Inc. (invoice issued by DioLaz) and the applicant must provide a copy of the original invoice.

·         At least five (5) years must have elapsed from the original invoice date to the date the buyback request is received by DioLaz.

·         The Device must be in acceptable Working Condition at the time of inspection and surrender, subject to Section 6 (Condition Assessment).

·         All serial numbers and identifying information must be intact, legible, and match DioLaz records.

·         The Device must be free and clear of liens, security interests, or other third-party claims, unless otherwise approved by DioLaz in writing.

 

DioLaz may request additional information or documentation at any time to verify eligibility. Failure to provide requested information may result in denial of the buyback request.

4. Buyback Value, Cap, and Calculation

If a Device is deemed eligible and DioLaz elects to proceed, the maximum buyback amount is capped at twenty percent (20%) of the Original Purchase Price. The actual buyback amount offered may be less than the cap and will be determined by DioLaz based on the results of inspection and other factors described below.

·         The cap is calculated on the pre-tax equipment price only. Taxes, shipping, installation, training fees, and other non-equipment items are excluded unless explicitly stated on the invoice as part of the equipment price.

·         Condition-based deductions may apply for cosmetic damage (e.g., deep scratches), missing components, misuse, improper storage, lack of maintenance, evidence of unauthorized modifications, and/or functional degradation.

·         DioLaz may consider market factors such as parts availability, refurbishing cost, and regulatory requirements for resale/refurbishment.

 

Any estimate provided before inspection is non-binding. Only a written Buyback Offer issued after evaluation is binding, and only for the validity period stated in that Buyback Offer.

5. Request and Process

To initiate a buyback request, the Eligible Purchaser must contact DioLaz and provide the required information. DioLaz may reject incomplete requests.

5.1 Required Information

·         Copy of the original DioLaz invoice showing purchase date, purchaser name, and the pre-tax equipment price.

·         Device model and serial number.

·         Clinic/company legal name and contact details.

·         Photos of the Device (front, back, sides) and any visible wear or damage.

·         Maintenance/service history if available, including any repairs performed.

5.2 Inspection

DioLaz will determine, in its sole discretion, whether the inspection will be performed on-site, remotely (via video), or at a DioLaz-designated location. DioLaz may require the Device to be shipped to a designated facility for inspection.

5.3 Offer, Acceptance, and Transfer

1.       DioLaz issues a written Buyback Offer that states the offered buyback amount, conditions, and expiry date.

2.       The Eligible Purchaser accepts the Buyback Offer in writing within the stated validity period.

3.       The parties execute any additional documents required by DioLaz (including a bill of sale and transfer of title documents).

4.       The Eligible Purchaser surrenders the Device (and any required components) to DioLaz in accordance with shipping/collection instructions.

5.       Upon confirmed receipt and final condition verification, DioLaz issues payment using the method stated in the Buyback Offer.

Title and risk of loss transfer to DioLaz only when DioLaz has confirmed receipt and accepted the Device in the condition represented during the evaluation process (or as otherwise stated in the Buyback Offer).

6. Condition Assessment and Deductions

DioLaz assesses condition to determine refurbishing requirements, safety considerations, and reasonable resale or reuse value. The following non-exhaustive factors may reduce the buyback amount or render a Device ineligible:

·         Functional issues, error codes, or performance outside normal parameters.

·         Missing, damaged, or non-original components (including handpieces, cables, covers, and safety interlocks).

·         Evidence of liquid damage, electrical damage, overheating, or unsafe operation.

·         Unauthorized modifications, third-party parts, or tampering with serial labels or safety markings.

·         Significant cosmetic damage such as deep scratches, dents, cracks, or broken housings.

·         Lack of routine maintenance or documented neglect that increases refurbishing cost.

DioLaz may require that the Device be cleaned, decontaminated, and prepared for shipping or collection in accordance with applicable safety and infection-control standards. DioLaz may deduct reasonable cleaning or decontamination costs if the Device is received in an unsanitary condition.

7. Exclusions

·         Devices not originally purchased from DioLaz Canada Inc. (missing or unverifiable invoice).

·         Devices with illegible, removed, or altered serial numbers or identification labels.

·         Devices that are not licensed for the Canadian market or do not meet applicable regulatory requirements.

·         Devices that are stolen, encumbered, or subject to third-party claims.

·         Consumables, accessories, or non-standard items unless specifically included in the Buyback Offer.

8. Taxes, Accounting, and Records

The buyback amount is stated in Canadian dollars unless otherwise specified. Any tax treatment depends on the nature of the transaction and the parties' circumstances. Each party is responsible for its own tax compliance. DioLaz may require the Eligible Purchaser to provide a valid business name and mailing address for payment and recordkeeping purposes.

DioLaz may retain documentation submitted as part of the request for audit, regulatory, and fraud-prevention purposes.

9. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law, DioLaz's total liability arising out of or relating to the Buyback Program is limited to the buyback amount actually paid to the Eligible Purchaser for the specific Device. DioLaz is not responsible for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profit, revenue, data, or business interruption.

No statement, estimate, or communication (whether oral or written) will create any obligation to buy back a Device unless and until DioLaz issues a written Buyback Offer and the parties complete the transaction in accordance with that Buyback Offer.

10. Privacy and Confidentiality

Information collected for the Buyback Program will be used to evaluate eligibility, administer the program, comply with legal obligations, and prevent fraud. Where applicable, DioLaz will handle personal information in accordance with its privacy practices and applicable Canadian privacy laws.

11. Changes to this Policy

DioLaz may update this Policy from time to time. The current version will be made available upon request or through DioLaz channels. For a specific transaction, the version of the Policy referenced in the applicable Buyback Offer will govern unless that Buyback Offer states otherwise.
