Trade-In Program Policy

This Trade-In Program Policy (the "Policy") describes the terms under which DioLaz Canada Inc. ("DioLaz", "we", "us", or "our") may accept eligible DioLaz-branded, Health Canada-licensed devices as trade-in credit toward the purchase of a newer DioLaz device.

Trade-in credits are discretionary, subject to inspection, and offered only as a credit against an eligible new device purchase (not as a cash payment). Participation is voluntary and subject to written confirmation by DioLaz.

2. Eligibility Requirements

·         Trade-In Device must be DioLaz-branded and licensed by Health Canada (where applicable).

·         Trade-In Device must have been purchased from DioLaz Canada Inc. and supported by a DioLaz invoice.

·         At least one (1) year must have elapsed since the original invoice date.

·         Customer must be the lawful owner and able to transfer clear title, free of liens or claims.

·         Trade-In Device must be in acceptable operating condition as determined by DioLaz following inspection.

3. Trade-In Credit and Valuation

The maximum Trade-In Credit is capped at fifty percent (50%) of the Original Purchase Price. The actual Trade-In Credit offered will be based on device model, age, usage, service history, and physical and functional condition.

·         The cap is based on the pre-tax equipment price on the original DioLaz invoice; taxes, shipping, and non-equipment charges are excluded unless explicitly included as equipment price.

·         Deductions may apply for cosmetic damage (e.g., deep scratches), missing parts, functional degradation, error codes, required repairs, contamination/cleaning needs, or unauthorized modifications.

·         Any preliminary estimate is non-binding. Only a written trade-in quote issued by DioLaz is binding for the stated validity period.

4. Eligible Use of Trade-In Credit

Trade-In Credit may only be applied toward the purchase of the latest DioLaz Health Canada-licensed device(s) available in Canada at the time of purchase. Trade-In Credit cannot be redeemed for cash and cannot be applied to consumables or services unless DioLaz confirms otherwise in writing.

·         The trade-in transaction must be paired with a new device purchase from DioLaz.

·         Trade-In Credit may not be combined with other discounts unless DioLaz confirms in writing.

·         DioLaz may limit the number of Trade-In Devices accepted per new purchase or per customer.

5. Process

5.1 Request

1.       Contact Sales@diolaz.com and request a Trade-In assessment.

2.       Provide the original invoice, device model and serial number, and clear photos of the device.

3.       Provide any available service/maintenance records and disclose any known issues.

5.2 Inspection

DioLaz may inspect the device remotely, on-site, or at a DioLaz-designated facility. The inspection verifies eligibility and condition, and may include functional testing.

5.3 Written Trade-In Quote and New Purchase Quote

If DioLaz elects to proceed, DioLaz will issue a written trade-in quote stating the proposed Trade-In Credit and conditions, and a quotation for the Eligible New Device. Trade-In Credit will be reflected as a credit line item on the new purchase documentation.

5.4 Exchange and Transfer of Title

·         The customer must surrender the Trade-In Device (and required components) by the deadline stated in the trade-in documentation.

·         Title transfers to DioLaz only upon DioLaz's acceptance of the Trade-In Device, as confirmed in writing or by completion of the exchange.

·         If the Trade-In Device is not delivered as agreed, DioLaz may cancel the Trade-In Credit and invoice the customer for the difference, as permitted by law and the applicable sales agreement.

6. Shipping, Preparation, and Safety

The customer is responsible for preparing the Trade-In Device for transport (including cleaning and decontamination) according to DioLaz instructions. Shipping/collection logistics and cost allocation will be confirmed in writing for each transaction.

·         Remove any patient-identifying information from the device prior to surrender, if applicable.

·         Package the device securely to prevent shipping damage.

·         Do not ship hazardous materials; remove any prohibited items before transport.

7. Exclusions

·         Devices not originally purchased from DioLaz Canada Inc. or without a verifiable DioLaz invoice.

·         Devices with altered or missing serial numbers.

·         Devices that are unsafe, non-functional beyond reasonable repair, or non-compliant with applicable requirements.

·         Consumables and accessories unless explicitly included in the trade-in quote.

8. Limitation of Liability

To the maximum extent permitted by law, DioLaz's liability arising out of or relating to the Trade-In Program is limited to the amount of Trade-In Credit actually applied to the customer's purchase. DioLaz is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption.

9. Changes and Termination of Program

DioLaz may modify, suspend, or discontinue the Trade-In Program at any time. Only a written trade-in quote issued by DioLaz creates an obligation to apply Trade-In Credit, and only for the validity period stated in that quote.
